Terms of Service

1. Who we are

"Qualigate", "we", "us", and "our" refer to Qualigate, a product of Lexlogos LLC, a Delaware limited liability company. We offer two distinct services, and these Terms cover both.

2. Our two services

(a) Qualigate Agency — managed services and custom builds

We design, build, and operate custom AI agents and applications for clients — hosted in branded environments, with per-client data isolation and (optionally) dedicated infrastructure. These engagements are scoped, priced, and governed by a separate Master Services Agreement (MSA) and one or more Statements of Work (SOWs) that we execute with each client.

Where the MSA or SOW conflicts with anything in these Terms, the MSA/SOW controls for that engagement. These Terms cover only the parts not specifically addressed in the signed agreement.

(b) Trace by Qualigate — self-serve SaaS

Trace by Qualigate is our self-serve, AI-powered end-to-end testing platform available at qualigate.app/trace. You can describe tests in natural language; we use Claude (from Anthropic) and Playwright to execute them in real browsers, record video, and report results. Billing is credit-based via Stripe.

3. Your account

To use Trace by Qualigate, you need an account. You agree to:

• Provide accurate information when signing up.
• Keep your password safe and not share your account.
• Tell us promptly at matt@qualigate.app if you suspect unauthorized access.
• Be at least 18 years old (or the age of majority where you live).

You're responsible for everything that happens under your account, including activity by people you invite to your team.

4. Acceptable use

Trace by Qualigate drives a real browser against real websites. That makes the "don'ts" matter. You agree not to use the Service to:

• Test or interact with systems you don't own or aren't authorized to test. Running tests against third-party sites without permission is on you, not us.
• Bypass authentication, paywalls, CAPTCHAs, or rate limits on systems you don't control.
• Scrape protected content or harvest personal data from sites you don't have rights to.
• Run anything resembling a denial-of-service attack, credential stuffing, or unauthorized penetration test.
• Use the Service for anything illegal, hateful, or designed to harm people.
• Reverse engineer the Service, resell it as your own, or use it to train competing AI models.

5. Payment, credits, and refunds

Trace by Qualigate runs on a credit-based subscription. Pricing and credit allowances are listed on our pricing page.

• Billing. Paid plans are billed monthly in advance via Stripe. Credit packs are billed once at purchase.
• Free tier. $0/mo with 15 starter credits (5 after trial). No card required.
• Credit consumption. Each test run consumes credits based on AI steps and tokens used. We may adjust the credit formula with at least 30 days' notice.
• Cancel anytime. You can cancel from your billing settings. Cancellation stops future billing — you keep access through the end of the period you've already paid for.
• Refunds. We don't pro-rate or refund partial months, unused credits, or credit pack purchases. If something went badly wrong on our end, email matt@qualigate.app and we'll make it right.
• Failed payment. If your card fails, we may pause your account until payment succeeds. We'll email you first.
• Price changes. We'll give you at least 30 days' notice before changing prices on your existing plan.

Agency engagement fees are governed by the relevant SOW.

6. Your content and data

You own your test scripts, the natural-language steps you write, and the recordings of your tests. We store this content because we have to in order to deliver the Service (run the tests, show you the results, retain history). You grant us a limited license to host, process, and display your content for that purpose only.

We don't sell your data, and we don't use your test content or recordings to train AI models — not ours, not anyone else's. See our Privacy Policy for details on how we handle data.

You're responsible for making sure your test content doesn't infringe anyone else's rights and doesn't include data you're not allowed to process.

7. AI output — read this carefully

Trace by Qualigate uses large language models to decide what actions to take in the browser. That means:

• The AI can take a wrong action, click the wrong element, or misinterpret a page.
• Tests can produce false positives (failed when they shouldn't) or false negatives (passed when they shouldn't).
• Recordings and reports may not capture every nuance of what actually happened.

Review your test results. Don't ship code to production purely because an AI test passed. Use Trace by Qualigate as one signal in your QA process, not the only one.

8. Service availability

We work hard to keep Trace by Qualigate up and fast, but we don't guarantee uptime on Free, Starter, or Pro plans. The Service is provided on a best-effort basis. For an SLA with guaranteed uptime and response times, contact matt@qualigate.app about Business or Enterprise.

We may schedule maintenance, change features, or temporarily take the Service offline. We'll give reasonable notice for planned downtime that affects paid customers.

9. Intellectual property

Qualigate, the Qualigate logo, the Service's code, design, and documentation belong to Lexlogos LLC. You can't copy, modify, or redistribute them without written permission.

Anything you create — test cases, recordings, screenshots, feedback — stays yours. If you send us feature suggestions or bug reports, you give us a perpetual, royalty-free right to use them to improve the Service. We don't have to credit you.

10. Termination and suspension

You can cancel your Trace by Qualigate account anytime from billing settings, or by emailing us.

We may suspend or terminate your account if you:

• Violate the acceptable use rules in Section 4.
• Don't pay your bill after we ask.
• Misuse the Service in a way that risks our infrastructure or other customers.
• Do something we're legally required to stop.

On termination, we'll keep your data for 30 days so you can export it, then delete it. See the Privacy Policy for details.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent allowed by law, Lexlogos LLC's total liability for any claim arising out of or relating to the Service is capped at the fees you paid us in the 12 months before the event that gave rise to the claim. We're not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we've been warned they were possible.

Some jurisdictions don't allow these limits, so they may not apply to you in full.

12. Indemnification

You agree to defend and indemnify Lexlogos LLC, its officers, and its employees from any third-party claim arising out of your use of the Service, your test content, or your violation of these Terms — including reasonable legal fees.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to these Terms

We may update these Terms. For material changes, we'll email account holders or post a clear notice in-app at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
